Article IV: Duties of Officers

Section 1: The President shall:

A. Call and preside over all meetings of the Association and the Executive Board.

B. Prepare and distribute a written agenda for all meetings.

C. Appoint standing committee chairpersons of the Association.

D. Serve as an ex-officio member of all committees.

E. Serve as delegate to the NACAC Assembly.

F. Assume such other responsibilities as directed by the Executive Board.

G. Compile and distribute an annual report to the membership. Such report should be made at the General Membership meeting of the Annual Conference in early June. Minutes of the meeting shall be made available to the membership through the Newsletter.

Section 2: The President-Elect shall:

A. Assume the office of president the ensuing year.

B. Coordinate the Annual Spring Conference.

C. Represent the president in his/her absence at all official functions of the Association. Preside at any meeting in the absence of the president.

D. Assume the office of president for the balance of the year if the president leaves office.

E. Assume other responsibilities as directed by the president.

F. Serve as delegate to the NACAC Assembly.

Section 3: The Immediate Past President shall:

A. Chair the Nominating Committee.

B. Certify that all delegates and alternates to the NACAC Assembly are individual members of principal representatives of institutional members of NACAC.

C. Serve as a resource and advisor to the president.

D. Coordinate the annual review of Articles of Organization and By-Laws.

E. Serve as NYSACAC chief delegate to the NACAC Assembly.

Section 4: The Vice President for Professional Development & Planning shall:

A. Coordinate the work of the College Fairs Committee; Media, Marketing & Technology Committee; Newsletter Committee; Professional Development Committee; School/College Relations Committee; and the Summer Institute as well as the ad hoc and interim committees except those associated with the Annual Membership Meeting.

B. Provide a written report, which also details issues needing input and/or action, to the Executive Board on the work of the committees at least ten (10) days in advance of the scheduled Executive Board meetings.

C. Coordinate the preparation of budget proposals and other funding request for individual committees and present the same to the Executive Board.

D. Coordinate interassociational activities and relationships.

E. Serve as an ex-officio member of the aforementioned committees.

F. Seek future sites for the Annual Spring Conference.

G. Assess the site for the annual Summer Institute on a regular basis.

Section 5: The Vice President for Diversity, Equity and Access shall:

A. Coordinate the work of the Admissions Practices Committee, the Government Relations Committee, and the Human Relations Committee as well as the ad hoc and interim committees except those associated with the Annual Membership Meeting.

B. Serve as a voice for the priorities of equity, access and legislative initiatives which represent the needs of the membership.

C. Provide a written report, which also details issues needing input and/or action, to the Executive Board on the work of the committees at least ten (10) days in advance of the scheduled Executive Board meetings.

D. Coordinate the preparation of budget proposals and other funding requests for the individual committees and present same to the Executive Board.

E. Coordinate interassociational activities and relationships.

F. Serve as an ex-officio member of aforementioned committees.

Section 6: The Secretary shall:

A. Maintain the recorded history of the Association including all pertinent printed materials.

B. Record, maintain and distribute the minutes of the general membership meetings to the full membership.

C. Record, maintain and distribute the minutes of the Executive Board meetings to the Executive Board.

D. Perform such other duties as directed by the president.

Section 7: The Vice President for Finance shall:

A. Coordinate the work of the Development Committee, the Finance Committee and the Membership Committee as well as the ad hoc and interim committees, except those associated with the Annual Conference.

B. Be responsible for the funds of the Association.

C. Be responsible for payments of all bills of the Association.

D. Serve on the Finance Committee and help prepare and oversee the annual budget of the Association.

E. Make regular reports of the financial status of the Association to the Association and Executive Board.

F. Present an annual report at the conclusion of the fiscal year.

G. Be responsible for scheduling and assisting in a financial audit of the Association every three (3) years.

H. Be elected to one three-year term.

I. Serve the first year of the term as “Vice President for Finance-Elect,” and shall attend all meetings with the Vice President for Finance, as a non-voting member.

J. Automatically become the association Vice President for Finance in the second year of office and shall assume all of the responsibilities of the position.

K. Serve as the Vice President for Finance in the third year of office, and during that year provide training for a new Vice President for Finance-Elect.

L. Serve as an ex-officio member of aforementioned committees.

Section 8: A Vacancy:

A. Shall be deemed to exist in the Executive Board when a member of the Executive Board is no longer able to serve for any reason or no longer meets the eligibility requirements as establish by the By-laws.

B. Vacancies on the Executive Board shall be filled as follows:

  1. In the case of a vacancy in the office of the President, the President-elect shall become President and that person shall appoint a President-elect pro-temp, chosen from among the elected Executive Board members, to serve until the next Membership Meeting, at which time a member will be elected to complete a vacant term.
  2. In the case of a vacancy on the Executive Board, other than in the offices of President and President-Elect, the President shall have the power to appoint, subject to the approval of the Executive Board, a voting member who meets the eligibility requirements set forth in the ByLaws to fill the vacancy until the next membership Meeting, at which time a member will be elected to complete the vacant term.
